IOSS TERMS AND CONDITIONS
Effective as of 28 December 2022
These Terms and Conditions (“Terms”) govern the relationship between INTERNATIONAL ONLINE SEXOLOGY SUPERVISORS PC, registered at M. Mpotsari 42, Thessaloniki, Greece, (“IOSS”, “we”, “us”, “our(s)”), and you, the Supervisor, Supervisee, User or Subscriber (as defined below). By using the Website and accessing our Services, you agree to be bound by these Terms.
- DEFINITIONS
The following definitions shall apply to any capitalized terms not otherwise defined within the Terms.
(a) “Account” means your account with IOSS to utilize the Services (as described in Paragraph 7).
(b) “Affiliates” means the directors, officers, employees, independent contractors, vendors, agents, and affiliates of IOSS. The defined term, “Affiliates”, does not include you, the Supervisor, Supervisee, User or Subscriber who agree to these Terms.
(c) “Personal Information” means the personal information you provide to IOSS when setting up to register your Account, accessing the Website and/or using the Services. Personal information includes, but is not limited to, your name, email address, profession, home or other physical addresses, telephone number, payment information, and any other information provided when setting up the account and may be used to identify you.
(d) “Sexology Education” means on-line lectures and accompanying materials on sexology provided by IOSS, including online state of the art lectures, instructional courses, inspirational talks, clinical case discussions and new clinical findings.
(e) “Subscriber” means an individual that uses IOSS to access Sexology Education through a personalized subscription service.
(f) “Supervision Course” means the session between a Supervisor and Supervisee with the purpose of professional development in sexology. Supervision courses can be held for 1 – 5 supervisees.
(g) “Supervisee” means an individual who utilizes IOSS Services to obtain professional development in the field of sexology through a Supervision Course.
(h) “Supervisor” means an individual that provides Supervision Courses or contributes as a speaker to the Sexology Education of IOSS.
(i) “Services” has the meaning outlined in Paragraph 2.
(j) “User” means any individual who uses IOSS to access Sexology Education on-demand, and who is not a Subscriber or Supervisee.
(k) “Website” means IOSS website found at www.sexologysupervisors.org
- SERVICES
2.1 IOSS PROVIDES THE FOLLOWING SERVICES:
(a) A means for connecting individuals who are health care providers, physicians or mental health care providers with Supervisors in order to obtain clinical supervision in a field relevant to sexology through Supervision Courses. This service is available for individuals that want to use IOSS as Supervisors or Supervisees.(b) Access to non-downloadable Sexology Education (e.g., video lectures) on topics of interest to health care providers and mental health professionals in the sexology field. Access to such content is possible on an on-demand basis or through a personalized subscription service. This service is available to any User or Subscriber, depending on the mode of access to the Sexology Education.
(c) A peer consultation portal, which can be used by Users, Subscribers and Supervisees to, among other things, connect with other Users to share information and seek guidance.
(d) Possibility to claim continuous education ACCME and APA credits. This service is available to Subscribers and Users (see 2.5.4).
All services described in this paragraph are collectively referred to as “Services”.
2.2 SERVICE – GENERAL
2.2.1 By using the IOSS Services, you agree that you have the appropriate and proper prior knowledge, skill, and experience to access the Sexology Education and/or attend the Supervision Course. You also warrant that you are purchasing access to Sexology Education or Supervision Courses for the purposes of your profession and not as a consumer of therapeutic services for personal reasons.
2.2.2 We warrant that the Sexology Education and Supervision Course will be provided using reasonable care and skill, in accordance with best industry practice and by suitably skilled and qualified instructors.
2.2.3 All information contained in the Supervision Course and Sexology Education is general in nature and subject to change. Nothing contained in the Supervision Course and in the Sexology Education is, nor should be construed as a professional or clinical judgement, decision or position by IOSS vis-a-vis any third parties.
2.2.4 We may, at our sole discretion, substitute the proposed Supervisor/s or lecturer with another suitably skilled and qualified Supervisor/s or lecturer. Such substitution shall not constitute a valid reason for claiming reimbursement of the Supervision Course or Sexology Education on-demand or subscription purchase.
2.2.5 We will send detailed attendance instructions to all attendees before the Supervision Courses.
2.2.6 If you require assistance with any administrative matter, please get in touch with us using the contact details set out on our website, and we will do our best to help. We reserve the right to a reasonable fee for such administrative services, which we will notify you in writing in advance.
2.2.7 After completing six sessions of Supervision Courses, Supervisees will be provided with an attendance certificate that will be supplied to them electronically. Hard copies of the certificates can be mailed, with a fee per certificate and courier postage.
2.3 MATERIALS RELATING TO THE SERVICES
2.3.1 We will provide or make available appropriate online materials in relation to the Supervision Course and the Sexology Education (“Course Materials”).
2.3.2 Other than in relation to any Course Materials: based on content provided by you (“User Content”), all intellectual property rights in the Course Materials are owned by or licensed to IOSS, and we grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable right to use the Course Materials solely within the context and for the purposes of attending the Supervision Course or accessing the Sexology Education and for your own personal use. You agree not to make copies of or distribute any Course Materials to any third party.
2.3.3 Other than in relation to User Content, we undertake to indemnify you against all liabilities, costs, expenses and damages relating to any claim that your use of the Course Materials infringes any third-party intellectual property rights.
2.3.4 To the extent that any Course Materials are based on User Content provided by you that includes, discusses, refers or otherwise relates to patient content (meaning any information relevant to clinical cases discussed), you grant us a license to use such User Content for the Course Materials and IOSS Services in general, and agree to indemnify us against all liabilities, costs, expenses and damages relating to any claim that our use of User Content infringes any third party intellectual property rights.
2.3.5 Due to the different privacy rules and deontological codes applicable to each jurisdiction, each Subscriber, Supervisor, Supervisee and User is fully and solely responsible in relation to the information they share during the Supervision Courses or Sexology Education, including as part of User Content. IOSS is not responsible for the type of information being shared and trusts that the behavior of the Subscriber, Supervisor, Supervisee and User is in accordance with the laws applicable to their own jurisdiction.
2.4 SUBSCRIPTIONS
2.4.1 Subscription plans
Annual Subscription Plan: Subscribers that complete the subscription process choosing an annual plan will receive the subscription services for one year starting from the period identified at the time of the purchase and then automatically renew unless and until the Subscriber cancels the subscription or the subscription is suspended or discontinued by IOSS. If the Subscriber cancels the annual subscription, they will continue to have access until the end of the subscription period, they will not receive a refund and will not be billed for the next billing cycle.
Monthly Subscription Plan: The monthly subscription will continue for one month (30 days) starting on the date of the purchase and then automatically renew unless and until the Subscriber cancels the subscription or the subscription is suspended or discontinued by IOSS. If the Subscriber cancels the monthly subscription, cancellation will be effective at the end of the current monthly period; the Subscriber will continue to have access to educational content for the remainder of that period, will not receive a refund and will not be billed for the next billing cycle.
Free Trial: The free trial subscription will continue on a monthly subscription plan unless and until the Subscriber cancels or the subscription is suspended or discontinued by IOSS. To avoid being charged during a free trial promotion, the Subscriber must cancel their subscription before the free trial ends.
If the Subscriber claims continuous education credits during the free trial period, IOSS reserves the right to require a payment for a one-month subscription to receive a course and/or certificate.
2.4.2 Subscription Services
Subscribers will have access to the following services:
- Full access to Sexology Education, a world-class collection of 80+ video lectures in clinical sexology (more than 80hrs), taught by 40+ of the world’s best professionals in the field. The content can be viewed online through the IOSS website and is not downloadable.
- Access to new educational content added every month. Access is provided online through the IOSS website, and the content is not downloadable.
- Free pass to all upcoming live-streamed Sexology Education lectures in real-time. Subscribers are responsible for checking their email account for relevant information notifying them about the scheduled live-streamed Sexology Education lectures and the link to join.
- Possibility to earn 30 ACCME and APA continuous education credits at no additional cost. Subscribers are solely and entirely responsible for carefully reading the learner notification, checking the date until which they can apply for credits (expiry date) and applying for the continuous education credits before that date. The learner notification is provided on the website at the specific CE credit page. For any clarification, Subscribers are responsible for contacting IOSS administration well in advance of the final date for applying for the continuous education credits to allow sufficient time for any clarifications and final application for the credits within the deadline. For the avoidance of doubt IOSS is not issuing the continuous education credits certificates itself, it is rather simply acting as an intermediary between the Subscriber and the relevant organization to facilitate the process for obtaining such credits. Credits are not available during the Free trial period.
- Customer service will be available for every Subscriber that contacts IOSS at no additional cost. Customer service will respond during working hours about administrative issues.
- Philomathia Sexology Award is provided in electronic format with the Subscriber’s name and year of subscription at no additional cost. Subscribers on the annual plan will receive this at the beginning of the annual subscription period. Subscribers on the monthly plan will receive this after 8 consecutive subscription months.
- A supportive and inspiring online group of peers from around the world.
2.5 ON DEMAND SERVICES FOR USERS
2.5.1 Users that purchase access to particular content on Sexology Education on an on-demand basis, receive access to it for one year starting from the date of purchase. Access to content on Sexology Education is provided online through IOSS Website and is not downloadable.
2.5.2 Some, but not all content on Sexology Education included in the Subscription mode will be available for on-demand purchasing as well.
2.5.3 On-demand purchase of Sexology Education does not provide the possibility to claim continuous education credits, unless otherwise clearly stated.
2.5.4 Users purchasing content on Sexology Education on demand that does provide the possibility to claim continuous education credits, are themselves solely and entirely responsible for carefully reading the learner notification, checking the date until which they can apply for credits (expiry date) and applying for the continuous education credits before that date. For any clarification, Users are responsible for contacting IOSS administration well in advance of the final date for applying for the continuous education credits to allow sufficient time for any clarifications and final application for the credits within the deadline. For the avoidance of doubt IOSS is not issuing the continuous education credits certificates itself, it is rather simply acting as an intermediary between the Subscriber and the relevant organization to facilitate the process for obtaining such credits.
2.6 BOOKING AND ACCESSING SERVICES
2.6.1 Our Website will guide Subscribers and Users through the steps they need to take to access Sexology Education through subscription or on-demand mode respectively. Our booking process allows to check and amend any errors before completing the purchase.
2.6.2 After Subscribers and Users purchase access to the Sexology Education through the subscription service or on-demand, they will receive an automatic email acknowledging that they have been charged and providing further instructions.
2.6.3. In terms of the Supervision Courses, our website will provide information to Supervisees in order to request a Supervision Course. After Supervisees fill in the interest form for a Supervision Course, they will receive an e-mail from us acknowledging that we have received their enquiry. It is only after agreement with IOSS on the preferred type of supervision, dates and times that they will be requested to pay for their Supervision Course.
2.6.4 We reserve the right, at our sole discretion, not to accept any booking for a Supervision Course, subscription or access to Sexology Education. In such a case we will inform you by email as soon as possible. If you have paid the relevant fee (e.g., for the Supervision Course or on-demand payment) we will refund it by the same method you used to pay.
2.7 PAYMENT FOR SERVICES
2.7.1 The fee for the Supervision Course and the Sexology Education (subscription and on demand mode) is the fee published on our website and is subject to change.
2.7.2 The Supervisee, User and Subscriber can only pay using credit/debit card, or other options provided on our webpage.
2.7.3 IOSS will provide an invoice to the Subscriber, Supervisee or User within one month of payment.
2.7.4 VAT does not apply to IOSS services. Subscribers, Supervisees and Users or are responsible for paying any other taxes or charges arising as a result of their use of IOSS Services. The prices of the IOSS Services correspond to the net amount due to us as a result of your use of the IOSS Services, and thus you are required to provide us with that full amount in order to access our Services. Any other applicable taxes, charges or fees will be additional to the full IOSS Services’ price.
2.7.5 All amounts due shall be payable in the currency as shown on our Website.
2.7.6 Supervisors will receive an honorarium for their services by bank transfer. This will be done within one month after the delivery of the Supervision Course or lecture in the Sexology Education and IOSS has received the invoice.
2.8 CANCELLATION POLICY
2.8.1 Subscriptions and on-demand purchases of access to Sexology Education are non-refundable. IOSS will not provide refunds for partially unused subscription periods, for not-watched Sexology Education purchased on-demand or to account for different expectations of the Users or Subscribers in relation to the Sexology Education (we strongly recommend looking at the available video trailers before purchasing).
2.8.2 We reserve the right, at our sole discretion, to cancel or reschedule a Supervision Course if necessary. We will notify Supervisees of any such changes as soon as possible. Supervisees will be entitled to a refund of any fees they have paid but will not be entitled to any other form of compensation in the event of such changes.
2.8.3 If we cancel a Supervision Course or reschedule it to a date which is inconvenient to the Supervisee and they have already paid the fee, we will provide a full refund within 30 days upon their written request, or at their option we may transfer the credit to another Supervision Course.
2.8.4 We do not provide full refunds for Supervisees that wish to cancel their participation in a Supervision Course. IOSS will provide 50% refund to Supervisees notifying IOSS by email that they no longer wish to attend the Supervision Course, provided that the Supervisees notifies IOSS of their intention to do so at least 15 days before the starting date of the Supervision Course. Alternatively, they may transfer the entire credit to another Supervision Course at no extra charge. Supervisees will not be entitled to a refund if they attend part of the Supervision Course. No Supervision Course materials will be provided if supervisees do not attend the Supervision Course.
2.8.5 Where the Supervisee notifies IOSS of their intention not to participate in a Supervision Course with less than 15 days prior written notice, or does not attend the Supervision Course for any reason whatsoever, the full price of the Supervision Course will be due, and there will be no possibility for refund. At IOSS’ discretion, it may be possible to transfer the credit to another Supervision Course, or towards a subscription or an on-demand purchase in which case an additional administrative charge equal to 20% of the original Course Fee will be applied.
2.8.6 The Supervisee seeking individual supervision pays the fee for the Supervision Course only after coming to an agreement with his Supervisor regarding dates/times of the sessions of the Supervision Course.
2.8.7. If the Supervisee wishes to change the agreed date/time of one or more individual Supervision Courses, this must be requested by email both to the IOSS administrator and the relevant Supervisor at least one week before the scheduled Supervision Course. It is to the sole discretion of IOSS and the Supervisor to suggest a new date/ time for the Supervision Course. In case they can’t agree on an alternative date, the Supervisee will not be refunded.
2.8.8 If the Supervisor wishes to change the agreed date/time of the individual Supervision Course, this must be requested as soon as possible to IOSS and the Supervisee via email. The Supervisor must suggest four alternative dates/ times.
2.8.10. If the Supervisee cancels a Supervision Course at least 15 days before the starting date, Supervisors will be entitled to a payment equivalent to 20% of the agreed honorarium/ per individual Supervision Course.
- SUPERVISEE RESPONSIBILITIES
When using the Services to obtain clinical supervision hours required by the country in which you are seeking a professional license, you agree to be solely responsible for the following:
(A) Having and maintaining a thorough understanding of the relevant country’s requirements as they pertain to clinical supervision (for example, number of hours required and whether those hours can be obtained through online supervision); and
(B) Verifying that the Supervisor(s) you select as your Supervisor(s) meets the requirements of the relevant country where you seek to get a license, and are otherwise qualified to serve as a clinical supervisor and may do so via online supervision at all times during your use of the Services.
(C) Each country’s requirements for clinical supervision hours vary and may change periodically. You acknowledge and agree that IOSS is not responsible for tracking each country’s requirements for clinical supervision hours or advising you regarding the same, nor is IOSS accountable for verifying the eligibility of any Supervisor to serve in such capacity.
- LINKS TO OTHER SITES
Through hypertext or other computer links, users will be able to gain access to other sites operated either by IOSS, its affiliates, or other third parties (“Linked Sites”). Unless otherwise specified, the Linked Sites are not under IOSS control. The Linked Sites may have different terms of use and privacy requirements. Unless otherwise specified, IOSS is not responsible for the Linked Sites’ content, policies or any changes or updates to such sites. IOSS provides these links for your convenience only. Clicking on the hyperlinks to any such Linked Sites is done at your own risk. IOSS is not a party to any transaction between you and a Linked Site. Unless specified, IOSS does not sponsor, endorse, adopt, confirm, or approve any material or representations made in those Linked Sites.
- ACCEPTANCE
By using the Website and Services, you acknowledge and agree that you are at least eighteen (18) years of age, have read and understood these Terms and are voluntarily bound by these Terms. If you are accessing or making use of the Website or Services on behalf of another individual, you acknowledge and agree that you have discussed these Terms with that individual and have the authority to bind, and are actually binding, that individual to these Terms in addition to binding yourself. If you do not agree to be bound by these Terms, do not proceed with accessing or otherwise using the Website or Services.
- GRANT OF LICENSE
As long as you comply with these Terms, we grant you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to use the Website and related Services. The Website may not be reproduced, duplicated, copied, modified, sold, resold, distributed, visited, or otherwise exploited for any commercial purpose.
- INTELLECTUAL PROPERTY
(a) All text, pictures, graphics, logos, images, documents and other content, unless otherwise stated, which you may have access to through the Website or the IOSS Services, is owned by, or licensed to, IOSS or its Affiliates. The Website, Services, all software (source code and object code) related to it, all content provided by us or our Affiliates or agents, all processes, designs, techniques, concepts, improvements, modifications, inventions and discoveries related to the Website and Services, all trademarks, copyrights, service marks, patents, applications, therefore, trade secrets and other intellectual property rights appurtenant thereto and any derivate works thereof related to the Website and Services are and shall remain our exclusive property. Furthermore, you shall not, nor permit any other party to, (a) disassemble, decompile, decrypt, or reverse engineer, or in any way attempt to discover or reproduce source code for any part of the Website or Services; (b) alter, modify, or prepare derivative works based on the Website or Services or any materials related to it; or (c) use any part of the Website or Services or any materials related to it to create, invent or develop any computer program or other invention, work or device that performs, replicates, or utilizes the same or substantially similar functions as the Website or Services or any materials related to it. Your use of the Website or Services constitutes your agreement that you will not, by any means, acquire any intellectual property rights of the various types of content described in this paragraph. In addition, you agree that you will not disclose, reproduce, duplicate, copy, sell, share or otherwise exploit any of the various forms of content without the prior, written consent of IOSS. For the avoidance of doubt treaming of the video content and sharing it with other individuals would be in violation of these Terms and in breach of the type of license we have granted to you.
(b) You agree that no information that you share on our Website or through our Services will (a) be offensive, threatening, libelous, defamatory, obscene or otherwise objectionable; (b) infringe on the copyrights or other intellectual property rights of any third party; (c) violate the privacy right of any third party; (d) violate these Terms; or (e) otherwise violate any applicable law. We do not pre-screen information provided by you, but we reserve the right (but do not have the obligation) to remove any information uploaded to or posted to the Website if it is found to violate these Terms.
- ACCOUNTS
To utilize the Services, you must create an Account. To create such an Account, you must select a username and password. It is solely your responsibility to protect your login credentials from third parties, as you will be responsible for any and all actions, including unauthorized activities, taken under your Account. As such, you agree to access the Services exclusively from a private computer with updated virus protection. You further agree to provide and update the required Personal Information in your Account when necessary. One account is permitted per one IP address. Accounts that are accessed through multiple IP addresses will be blocked.
- USER PROFILES
In addition to the Accounts described in paragraph 8, you agree to provide and maintain an accurate user profile, which will be accessible to anyone utilizing IOSS Services. Your profile must not contain any misleading or false statements including, without limitation, statements regarding your expertise, the status of your professional license, your credentials or experience.
- SECURITY
We care about the security of your Personal Information and Account information. We continuously work to protect the security of your Personal Information and your Account information; however, we cannot guarantee that unauthorized third parties will not be able to circumvent our security measures. Please notify us immediately of any unauthorized use of your Account.
- NO EMPLOYMENT STATUS
IOSS does not have an employer-employee relationship with any of its users, including Supervisors. Users who participate in the Services are doing so as independent contractors. All persons employed by you shall be your employees or independent contractors. You shall be fully responsible for yourself and them, including, without limitation, with respect to compensation to your employees and independent contractors, withholding taxes, worker’s compensation, other insurance and other required payments.
- NON-SOLICITATION AND NON-COMPETE AGREEMENT
IOSS understands that Supervisors may be active in private practice and already serve as supervisors to supervisees outside of IOSS. This paragraph applies only to Supervisor-Supervisee relationships which are established through IOSS. This paragraph in no way prohibits or restricts Supervisors from working with supervisees which the Supervisor obtained outside of IOSS. Notwithstanding anything herein to the contrary, Supervisors are permitted to use IOSS’ Services related to online supervision with existing supervisees (outside IOSS) without violating this paragraph. As a condition of using the Services, you agree that you will not make any attempt to solicit any Supervisees or Supervisors you meet through IOSS, or any of IOSS independent contractors, agents, vendors or employees for (a) working directly with the Supervisee outside of IOSS or (b) hiring or retaining such individual or entity to provide the same or similar services provided to IOSS in competition with IOSS. In addition, you agree not to use any information, including Confidential Information, you obtain, directly or indirectly, about the inner workings of IOSS, or its business model, to participate in the creation of, or accept employment with, any entity which seeks to compete with the Services offered by IOSS. These non-solicitation and non-compete provisions shall apply so long as you have an Account with IOSS and for a period of 12 months following the termination of your Account with IOSS.
- CONFIDENTIALITY
You acknowledge that IOSS uses confidential and/or proprietary information and trade secrets in the creation, development, promotion, maintenance and marketing of the Services. “Confidential Information” includes, without limitation, the following: financial and accounting data; marketing plans; vendor and supplier information; data processing and communication information; services under development; research and development; Supervisee, User, Subscriber and Supervisor Personal Information; clinical case information and other information used by or concerning IOSS which it treats as confidential and is not publicly available. You agree not to, directly or indirectly, discuss, disclose, make known to or use for the benefit of yourself or any person, firm, corporation or other entity any Confidential Information.
All IOSS users accept to be responsible for maintaining the highest standards of professionalism and confidentiality in connection with their obligations related to Confidential Information or protected health information of their discussions of the individuals, which they may discuss as a part of the Services. To uphold this confidentiality standard, users are strictly prohibited from sharing the names, addresses, email addresses, phone numbers, dates of birth, social security numbers or any other information which may be used to identify any individual.
- PRIVACY
The use of our Website and Services is subject to our Privacy Policy located at [www.sexologysupervisors.org]. By using the Website you agree to comply with IOSS’s Privacy Policy. You acknowledge that you and/or the individual on whose behalf the Account was set up, have carefully reviewed and understood the Privacy Policy.
- AMENDMENTS
From time to time, IOSS may modify, supplement, change, update or revise the Terms by posting the amendments on the Website. It is solely your responsibility to periodically revisit the Terms to check for any amendments. You acknowledge and agree to be bound by any amendments to these Terms by continuing to use the Website or Services after the amendments are posted.
- TERMINATION
You may terminate your Account with IOSS at any time and for any reason by contacting IOSS or deactivating your Account on the Website. All termination requests will be processed within 14 days from the receipt of the request. Upon termination, you will no longer be able to access your Account. Terminating your Account before the end of the year during which you have access to Sexology Education (either through subscription or on-demand mode) will not constitute a valid reason for claiming a refund for the remaining period following termination. Any fees owed at the time of termination will be due immediately. If your IOSS account is setup for automatic deductions from your payment account, your final fees will be deducted no later than the date the termination is finalized. Furthermore, you remain bound by these Terms after the date of the termination, or suspension of your account, with the sole exception of your obligation to keep your Account with IOSS updated.
IOSS DISCLAIMER
The information contained in the Website and the Services provided by IOSS is for general information purposes only. Whilst we endeavor to keep the information up to date and correct, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability concerning the Website or the information, products, services, or related graphics contained on the website for any purpose. Therefore, any reliance you place on such information is strictly at your own risk.
In no event will we be liable for any loss or damage, including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with, the use of this Website and the IOSS Services. IOSS is not liable if the information made available on or through the Website and IOSS Services is used for the users’ medical/clinical decisions or to diagnose or treating a medical or health condition.
Through the Website, you can link to other websites that are not under our control. We have no control over the nature, content and availability of those sites. The inclusion of any links does not necessarily imply a recommendation or endorse the views expressed within them.
We encourage you to read the privacy statements on the other websites you visit.
Every effort is made to keep the website up and running smoothly. However, we take no responsibility for, and will not be liable for, the website being temporarily unavailable due to technical issues beyond our control.
